01/08/02 Scott A. Walker Mr. Walker has served on the Company's Board of Directors since October 1998, chairing the Board's Finance Committee. Mr. Walker practiced law from 1986 to 1995 at Walker & Corsa, a Wall Street law firm specializing in international law. In June 1995, Mr. Walker started Walker Worldwide Ltd., an international trading company. In January 1996, became Vice-Chairman of MCOM Management Corp., a New York based investment-banking company that has worked with VirtGame since the company's founding. Mr. Walker has also served on the Board of Royal Olympic Cruises, a NASDAQ listed company trading under the symbol ROCLF. Bruce Merati Mr. Merati has 22 years of diversified experience, in international accounting, corporate finance and investment banking. This includes seven years of public accounting with the London office of PriceWaterhouseCoopers, and 15 years of financial management in private and public companies in California. He received a Bachelor of Science in Economics from the London School of Economics. He holds a California real estate broker license, NASD Series 7, 63 and 24 licenses along with a Chartered Accountant in England and Wales license, and a CPA license from California. Brett Morgan Mr. Morgan has been with VirtGame for two years and has over 24 years of experience in applying computer technology to private and public sector organizations that spans both hardware and software development for business applications and internet solutions. Prior to joining VirtGame, he worked on projects ranging from N-Tiered Graphical Web Integration Solutions to small Microsoft Office user interface systems, developing simple user interfaces for complex facilities and document management, Web and Desktop enabled accounting systems, Hardware devices and e-Commerce solutions. At VirtGame, Mr. Morgan is responsible the overall technology architecture and software development as well as the front-end game integration to VirtGame's back-end platform. Jon Berkley Prior to joining VirtGame, Mr. Berkley was CEO of consulting firm Tech-I-Bank, specializing in Business Development and Marketing initiatives for technology based companies. From 1997 to 2000, Mr. Berkley served as CEO of Wellzone.com, an ASP to the Healthcare sector. Mr. Berkley is also the former CEO of Display America, a designer and manufacturer of point of sale advertising and merchandising products; National Container Corporation, a corrugated paper converter; and, Integrated Packaging Systems, a DuPont packaging distributor. Prior to his entrepreneurial career, Mr. Berkley served in several positions in Washington D.C., including: Assistant to the Secretary of Labor, Director of Campaign Plane Operations with Dole for President 1988 and Director of Intergovernmental Affairs at the US Trade Representative's Office at the White House. He has a Bachelor's degree in Economics from Southern Methodist University and an M.B.A. from the Darden School at the University of Virginia. John Van Rhyn Mr. Van Rhyn has accumulated 24 years of operating experience in gaming management. He has been Key Employee (a Nevada designation that includes responsibility for the casino) and Controller at Caesars Palace, Casino Manager at the Landmark, Director of Finance at the Imperial Palace, and Race and Sports-book Manager at Caesars, the Sands, and the Desert Inn. He has also served as a gaming consultant to Caesars Palace, Caesars Tahoe, and Resorts International. Gary Baker Mr. Baker has been with VirtGame and its sports book subsidiary, PrimeLine, for five years and has over 20 years of experience in software development. Mr. Baker worked on several Department of Defense projects with companies, ranging from voice recognition software for training air-traffic control operators to simulations of tactical, airborne communications systems. He is responsible for the development of the back-end software that underlies VirtGame's PrimeLine Sports Book and Micro-eBorder Control technologies, part of VirtGame's VirtGeotelligence™ Suite. At VirtGame, Mr. Baker is the main architect and developer of the Primeline Race and Sports book software. Francis Chue Mr. Chue has been with VirtGame for four years and has over 10 years of experience in software development with experience in building business applications. Mr. Chue served as a senior engineer in the EMS industry and was responsible for the development of mission critical applications. At VirtGame, Mr. Chue is responsible for the development of VirtGame's e-commerce interfaces, Internet, and intranet web sites. He is also responsible for the ongoing administration of VirtGame databases including VirtGame's VirtGeotelligence™. Robert Nance Mr. Nance has been with VirtGame for five years and has over 20 years experience in software development, including over 10 years in object-oriented software (system design and implementation) on various platforms. Prior to joining VirtGame, he was the architect of a Smalltalk development environment, and has several years experience consulting for Daimler-Benz, Banker's Trust, FileNet, and several San Diego firms. At VirtGame, Mr. Nance is responsible for the back-end software development; the game random number generations and the web element of the Primeline Race and Sports book software.
