| Edward M. Tracy Chairman of the Board of Directors Mr. Tracy is a twenty-year veteran of the service, marketing and hospitality industries. During his tenure in these industries, Mr. Tracy has served in corporate finance positions including supervision of all aspects of Securities and Exchange Commission public company reporting and compliance, strategic development for mergers and acquisitions as well as a chief executive position. Prior to joining INSC, Mr. Tracy was an investor and advisor to numerous startup companies. Prior to 1999, Mr. Tracy was Chairman and Chief Executive Officer of Capital Gaming International, Inc. Mr. Tracy was appointed President and Chief Operating Officer and Director of the company at its inception in January 1993 and became Chief Executive Officer in 1995. His extensive experience in the gaming and hotel industry prior to that includes serving as President and Chief Executive Officer of The Trump Organization, which included all casino, hotel, entertainment and numerous sub-companies including Real Estate and Aviation entities. During his tenure at The Trump Organization, Mr. Tracy was responsible for managing over 12,500 employees, 3,000 luxury rooms and 240,000 square feet of casino space, which produced annual revenues in excess of $1 billion. Prior to that, he served as Vice President and General Manager of the Sands Hotel and Casino in San Juan, Puerto Rico. He has also served as Vice President and Director of Hotel Operations for Middex Hospitality, a New York based hotel Development Company. Mr. Tracy began his career in the hotel industry during his five-year (1978-1982) tenure at the inception of Hotel Investors Trust in which he served in several executive positions including hotel and casino financing, development, acquisitions, operations and marketing. Mr. Tracy holds a Key Employee Casino License with the State of New Jersey Casino Control Commission and has, in the past, held a Key Executive License with the Commissioner of Financial Institutions of the Commonwealth of Puerto Rico. Additionally, the National Indian Gaming Commission and the state gaming regulatory agencies in Arizona, Oregon, and Washington license him. Merle Berman Ms. Merle Berman is a three-term Nevada legislator and a twenty-eight year resident of Nevada. She was the impetus behind the Interactive Gaming Bill introduced in the 2001 Nevada legislature, which passed and was signed into law by the Governor in June 2001. Ms. Berman's background is in real estate and development in the Las Vegas area. She is the recipient of numerous awards, most recently named Legislator of the Year by the American Cancer Society and honored by AARP for her continued work for seniors. Ms. Berman is a graduate of Pennsylvania State University with a Bachelor's degree. Anthony Geisler Over the past decade, Mr. Geisler has built five different business-to-business companies that provided marketing, importing, and strategic Internet consulting services to a range of businesses in a variety of different industries. His last venture, The Internet Marketing & Management Group, which he established with his partner David Bailey, focused on developing e-commerce opportunities for brick and mortar companies which lacked an online presence and wished to pursue convergence as a growth strategy. From this work, the concept for INSC was conceived. Today he oversees development and sets the organizational and strategic goals of INSC. Mr. Geisler graduated from the University of Southern California with a BS in Business Administration and received one of their highest awards of special recognition from their Entrepreneur Program. David Bailey A veteran Internet entrepreneur, Mr. Bailey brings to INSC a vast array of experience from working with over 5,000 different sites in the gaming, television, film, recording, apparel and medical fields. As the founder of Gateway Technology, which specialized in java-based Internet e-gaming software, Mr. Bailey acquired a tremendous foundation of experience and expertise in Internet application development and design, which are now a great asset to INSC. In 1998, Gateway was sold to Chartwell Technology, a publicly traded Canadian company, for millions in stock. Prior to that, Mr. Bailey built The Internet Marketing & Management Group, after acting as Chief Operations Officer for another private Internet entertainment company. Mr. Bailey sets the corporate direction and oversees all licensing contracts for INSC's software and other product lines.
